If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Definitions
The following terms apply throughout this agreement:
- "Platform" refers to the Mujez financial operating system, including all features, APIs, and integrations
- "SaaS" refers to our cloud-hosted subscription service
- "On-Premises" refers to self-hosted installations deployed within the customer's own infrastructure
- "User" refers to any individual authorized to access the Platform under a valid subscription
- "Customer" refers to the entity that has entered into a subscription agreement with Mujez
- "Content" refers to all data, documents, and records uploaded to or generated by the Platform
Account Registration
To use the Platform, you must register an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify us immediately of any unauthorized access or security breach.
Subscription and Payments
Access to the Platform requires an active subscription. Subscription fees are quoted and payable in Saudi Riyals (SAR). Unless otherwise agreed in writing, subscriptions are billed annually in advance. On-premises license fees are governed by separate enterprise agreements. Late payments may result in suspension of access after a 15-day grace period.
Permitted Use
You may use the Platform solely for lawful business purposes related to financial management, accounting, and regulatory compliance. You agree not to:
- Use the Platform for any unlawful purpose or in violation of applicable law
- Attempt to reverse engineer, decompile, or disassemble any part of the Platform
- Share your access credentials with unauthorized parties
- Use automated tools to scrape, extract, or bulk-download data beyond normal API usage
- Interfere with the security, integrity, or performance of the Platform
- Resell, sublicense, or redistribute the Platform without written authorization
Intellectual Property
The Platform, including its source code, design, trademarks, and documentation, is the exclusive property of Mujez Technologies. Your subscription grants a limited, non-exclusive, non-transferable license to use the Platform during the subscription term. You retain full ownership of all Content you upload to or create within the Platform.
Data Ownership and Portability
You own all data you input into the Platform. You may export your data at any time through the Platform's export features. Upon termination of your subscription, we will make your data available for export for 30 days. After this period, data will be securely deleted in accordance with our Privacy Policy.
Service Availability
For SaaS customers, we target 99.9% uptime for the Platform, excluding scheduled maintenance windows. We will provide advance notice of planned maintenance. We are not liable for service interruptions caused by circumstances beyond our reasonable control, including force majeure events. On-premises availability is managed by the Customer.
ZATCA Compliance
The Platform is designed to facilitate compliance with ZATCA Phase 2 e-invoicing requirements. While we maintain the Platform to reflect current ZATCA regulations, you remain responsible for the accuracy and completeness of the data submitted through the Platform. Mujez is not a tax advisor and does not provide tax or legal advice.
Limitation of Liability
To the maximum extent permitted by Saudi law, Mujez's total liability under these Terms shall not exceed the total fees paid by you during the 12 months preceding the claim. Mujez shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunities.
Indemnification
You agree to indemnify and hold Mujez harmless from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.
Termination
Either party may terminate the subscription with 30 days written notice. Mujez may suspend or terminate access immediately if you breach these Terms. Upon termination, your right to use the Platform ceases, and the data export provisions above apply.
Modifications to Terms
We may modify these Terms from time to time. Material changes will be communicated at least 30 days in advance via email or platform notification. Continued use after the effective date of changes constitutes acceptance.
Governing Law
These Terms are governed by the laws of Egypt. Any disputes shall be resolved exclusively by the competent courts in Giza, Egypt.
